These Terms and Conditions (“Terms”) govern your use of https://www.wpnesting.com (the “Website”) and the purchase and use of WP Nesting products and services (including our WordPress plugin and related API/nesting service) (together, the “Service”). By accessing the Website, creating an account, purchasing a subscription, downloading/using the plugin, or using the Service, you agree to these Terms.

If you do not agree, do not use the Website or Service.

1. Definitions

  • Account means a registered user account on the Website.
  • API Key means the unique key issued to you to access the Service.
  • Activation Token means a one-time token used to bind an API Key to a specific website/domain.
  • Customer means the person or business purchasing or using the Service.
  • Subscription means a recurring plan purchased through the Website (monthly or yearly).
  • Usage / Job means a nesting job submission counted against your plan limit (as described on the Website and in the Service).

2. Eligibility and accounts

You must be at least 18 years old to create an Account and purchase the Service. You are responsible for:
  • providing accurate registration and billing information,
  • maintaining the confidentiality of your login credentials, and
  • all activity under your Account.

3. The Service

WP Nesting provides a WordPress plugin and a hosted nesting service accessed via an API. We may update, modify, or improve the Service from time to time, including adding, changing, or removing features.We do not guarantee that the Service will be error-free or uninterrupted, but we aim to provide a reliable service and respond to issues within a reasonable time.

4. Licensing, API Keys, and site binding

4.1 API key required

Access to the Service requires a valid API Key linked to an active Subscription (or trial).

4.2 One-site binding

Each API Key may be bound to one website/domain at a time. Binding occurs when you activate the plugin using an Activation Token. Once bound, the API Key may only be used on that site until it is unbound via your account on the Website.

4.3 Activation tokens

Activation Tokens are one-time tokens used to bind an API Key to your site. You must keep Activation Tokens and API Keys secure and not share them publicly.

4.4 Unbinding and moving sites

If you migrate your website or need to change the bound site, you can remove the binding from your account area and then re-activate on the new site. We may apply reasonable limits to unbinding to prevent misuse.

5. Plans, billing, and subscriptions

5.1 Prices and billing

Subscription prices, billing intervals (monthly/yearly), and plan limits are shown on the Website at the time of purchase. Prices may change for new purchases; existing subscriptions are generally charged at the price shown at renewal unless otherwise stated.

5.2 Automatic renewal

Subscriptions renew automatically until cancelled. You can cancel your Subscription through your account. If you cancel, your access may continue until the end of the current billing period (depending on your Subscription status).

5.3 Payment processing

Payments are processed by our payment provider(s) (e.g., Stripe). We do not store full payment card details on our servers.

5.4 Failed payments

If payment fails or your Subscription becomes past due/on-hold, your API Key may be suspended and access to the Service may stop until payment is successfully completed.

5.5 Refunds

Unless required by law, fees are generally non-refundable once a billing period has started. If you believe you have been charged in error, contact us at info@wpnesting.com with your order/subscription details.

6. Usage limits

6.1 Usage limits

Each plan includes a monthly usage allowance (jobs/requests). Your usage and remaining allowance are available in your account.

6.2 Running out of usage and leeway

If you reach your plan limit, we may allow a short leeway period of 3 days before access is paused. After the leeway period ends, your API Key may stop working until the next billing cycle begins or until access is otherwise restored.

6.3 Fair use

You must not abuse the Service (including excessive automated requests, attempts to bypass limits, or sharing API Keys across multiple sites). We may suspend or terminate access if we reasonably believe there is misuse.

7. Trial terms

We may offer a free trial. Trial duration, limits, and eligibility are shown on the Website. Trial access may be limited to one use per customer or per site. If trial terms are abused, we may refuse further trials or suspend access.

8. Customer content

You retain ownership of any content you upload or submit (e.g., part files, designs, nesting inputs). You grant us a limited, non-exclusive right to process that content solely to provide the Service.You are responsible for ensuring you have the rights to use any files you upload and that they do not violate any laws or third-party rights.

9. Acceptable use

You agree not to:
  • use the Service for unlawful purposes,
  • attempt to gain unauthorised access to the Website, Service, or systems,
  • interfere with or disrupt the Service,
  • reverse engineer or attempt to extract source code from the Service (except where allowed by law),
  • share, sell, or publish your API Key/Activation Token, or
  • use the Service to infringe intellectual property rights.

10. Intellectual property

The Website, plugin, branding, and Service (including code, designs, and content we provide) are owned by WP Nesting or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted in these Terms.

11. Third-party services

The Service may integrate with third-party tools (such as payment providers and WordPress plugins). We are not responsible for third-party services and their terms or privacy practices. You should review any third-party terms that apply.

12. Service availability and changes

We may temporarily suspend the Service for maintenance, updates, or security reasons. We may change or discontinue parts of the Service. Where feasible, we will provide reasonable notice of significant changes.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.We do not guarantee that nesting outputs will be free from errors or suitable for your specific manufacturing requirements. You are responsible for verifying outputs before production.

14. Limitation of liability

Nothing in these Terms limits liability that cannot be limited under UK law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).Subject to the above, to the maximum extent permitted by law:
  • We are not liable for indirect, consequential, special, or punitive losses, or loss of profits, revenue, data, or goodwill.
  • Our total liability for claims arising out of or relating to the Service in any 12-month period is limited to the total amount you paid to us for the Service in that 12-month period.

15. Termination

You may stop using the Service at any time. You can cancel your Subscription through your account.We may suspend or terminate your Account and/or access to the Service if you breach these Terms, misuse the Service, or if required by law. Where appropriate, we may provide notice and an opportunity to remedy the issue.

16. Privacy

We process personal data as described in our Privacy Policy and Cookie Policy. By using the Service, you acknowledge those policies.

17. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer laws provide otherwise.

18. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date below shows when the Terms were most recently revised. If changes are significant, we may provide additional notice (for example, via the Website or email).
